Terms of Use Agreement

BeeFreedom LLC (“BeeFreedom,” “we,” “our” or “us”) and its website with a homepage located at https://www.BeeFreedom.com, the BeeFreedom mobile application (the “App”), and the content, features and services offered on and in connection with these sites and applications (collectively, the “Platform”) are owned and operated by BeeFreedom and can only be accessed and used by users (“you” or “your”) under these Terms of Use described herein (the “Terms”).
These Terms, our Privacy Policy, and all other documents referenced herein govern the relationship between you, the user of the Platform, and BeeFreedom. You hereby agree that the agreement formed by these Terms is equivalent to any written, negotiated agreement signed by you. Please read these Terms thoroughly and carefully. By accessing or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, then you may not access or use the Platform. You agree to provide to BeeFreedom and authorize BeeFreedom to use your information to obtain background checks and business credit checks from our vendors and/or verify your identity throughout your use of the service in accordance with applicable laws, including but not limited to the Fair Credit Reporting Act (“FCRA”).
All references to “you” or “your,” as applicable, mean the person who accesses, uses, and/or participates in the Platform in any manner, and each of your heirs, assigns, and successors. If you use the Platform on behalf of an entity or other individual, you represent and warrant that you have the authority to bind that entity or individual, and to perform and otherwise undertake all of your obligations hereunder. Your acceptance of the Terms will be deemed an acceptance by that entity, and “you” and “your” herein will refer to that entity, its directors, officers, employees, and agents.
1. Definitions
- “BeeFreedom Content” means all Content BeeFreedom makes available on or through the Platform, including any Content licensed from a third-party, but excluding User Content.
- “Collective Content” means User Content and BeeFreedom Content together.
- “Content” means text, graphics, images, music, software, audio, video, information or other materials, including but not limited to profile information, Professional Services requests, quotes, message threads, reviews, scheduling and calendar information, and other information or materials available on or through the Platform.
- “Consumer” or “Customer” means a User who is registered to search for Service Providers on the Platform, seeks Professional Services from Service Providers on the Platform, makes a booking with a Service Provider to purchase a Professional Service (or receive a quote in contemplation thereof), agrees to these Terms, or otherwise uses the Platform, including, without limitation, to receive, pay for, review, or facilitate the receipt of Professional Services. Consumers or Customers are often referred to as “Hives” on the Platform.
- “Fee” means any amount charged by BeeFreedom to a User in connection with the Platform.
- “Feedback” means any feedback, comments, questions, or suggestions provided by a User concerning BeeFreedom or our services, including our Platform.
- “Platform” means all BeeFreedom websites, mobile or other applications, software, processes, and any other services provided by or through BeeFreedom.
- “Privacy Policy” means the BeeFreedom Privacy Policy located at https://www.BeeFreedom.com/privacy/ including any amendments, supplements or modifications thereto made from time to time.
- “Professional Services” means the services listed, quoted, scheduled, offered, fulfilled or provided by a Service Provider, or sought, scheduled, paid for, or received by Consumers, through the Platform.
- “Service Provider” or Service Professional means a User who uses, or is registered to use, the Platform to offer, provide, receive payment for, or facilitate the provision of Professional Services. Service Providers or Service Professionals are often referred to as “pros” or “Bees” on the Platform.
- “User” means a person or entity who completes BeeFreedom’s account registration process, agrees to these Terms, utilizes any services offered by or through the Platform, or a person or entity who submits or receives a request through BeeFreedom, including but not limited to Service Providers and Consumers.
- “User Content” means all Content submitted, posted, uploaded, published, or transmitted on or through the Platform by any User of the Platform, including but not limited to photographs, voice or audio recordings, videos, profile information, descriptions, postings, reviews, requests, messages, and payments made through the Platform, but excluding BeeFreedom Content and Feedback.
2. Changes
BeeFreedom reserves the right at any time and with or without notice to you, to change (a) the Platform, including, without limitation, eliminating, supplementing, modifying, adding, or discontinuing any content, feature, data, or service on or available through the Platform, or the hours during which they are available; and (b) the prices and Fees (if any) for access to or use of the Platform or any component thereof. We will not be liable to you or any third-party for any modification, price change, suspension, or discontinuance of the Platform, or any component or services on the Platform. We reserve the right to limit the availability of the Platform, Content, or Professional Services offered thereon to any person, geographic area, or jurisdiction we so desire, at any time and in our sole discretion.
3. Eligibility
By accessing or using the BeeFreedom Platform, you represent and warrant that: (a) you are at least 18 years old, are at least of the legally required age in the jurisdiction in which you reside, and are otherwise capable of entering into binding contracts; and (b) you have the right, authority and capacity to enter into these Terms and that you will comply with all applicable provisions and conditions of these Terms. Where you enter into these Terms on behalf of a company or other organization, you represent and warrant that you have authority to act on behalf of that entity and to bind that entity to these Terms. Except as set forth in preceding sentence, the right to access and use the BeeFreedom Platform is personal to you and is not transferable to any other person or entity.
4. Service Professional Representations, Warranties, and Use of the Platform
By registering or using the Platform to offer, post, or provide Professional Services, Service Professionals represent and warrant that they, and the employees, agents, suppliers, contractors, and subcontractors who may perform work for them, (a) are properly and fully qualified and experienced, and licensed, certified, bonded, and insured, as required by applicable laws or regulations to which they may be subject in the jurisdiction(s) in which they offer their Professional Services and in relation to the specific job they are performing; (b) comply and will continue to comply with all applicable laws, including, without limitation, applicable privacy and marketing laws, in their use of the Platform and any personal information obtained from the Platform; (c) will perform the Pro Service as outlined in their agreement with the Consumer and work to remedy any material deviations from such agreement; and (d) will perform the Professional Services in a professional, workmanlike manner in accordance with industry standards and in accordance with these Terms.
BeeFreedom does not sell or otherwise provide Professional Services. BeeFreedom may directly provide on-Platform services to Consumers, but any Professional Services solicited as a result of any such consultations or on-Platform services are provided by an independent Service Professional without any representation, warranty, guarantee, or endorsement from BeeFreedom other than as expressly provided for herein.
Service Professionals understand and agree that they are customers of BeeFreedom, and are not BeeFreedom’s employees, contractors, consultants, joint venturers, partners, or agents. Service Professionals acknowledge that they provide their own equipment, select their own jobs, develop their own expertise, are free to do jobs through other platforms and lead sources, and determine their own work schedule.
BeeFreedom, as permitted by applicable laws, obtains reports regarding Service Professionals, which may include history of criminal convictions or sex offender registration, and we may limit, block, suspend, deactivate, or cancel a Service Professional’s account based on the results of such a report, with or without notice. As a Service Professional, you agree and authorize us to use your personal information, such as your full name and date of birth, to obtain such reports from BeeFreedom’s vendors. 5. Account Registration and Other Submissions
To access and participate in certain features of the Platform, you will need to provide login information such as a username and create a password-protected account. As a condition to your license to access and use the Platform when registering for an account, you agree to (a) provide us with true, accurate, current and complete information as prompted by our registration forms; and (b) update and maintain the truthfulness, accuracy and completeness of such information (the “Account”). You are solely responsible for maintaining the confidentiality of any password or other account information not generally available to others and are fully responsible for all activities that occur under your username and password, and you will notify BeeFreedom immediately of any unauthorized use. BeeFreedom is not liable for any losses by any party caused by any unauthorized use of your Account.
6. Ownership and License to Use the Platform
Subject to full compliance with these Terms, BeeFreedom grants to you a limited, revocable, terminable, non-exclusive, non-transferable, non-assignable and non-sublicensable license to access and use the Platform for your personal use. BeeFreedom exclusively owns and retains all rights, title, and interest in and to the Platform, including, without limitation, all confidential and intellectual property rights in and to the Platform.
7. User Content and Conduct
We may, in our sole discretion, permit you to post, upload, publish, submit or transmit User Content. Notwithstanding other provisions of the Terms, the contents of direct messaging between User and Service Professional through the Platform will not be used by BeeFreedom in public advertising.
User Content License
By making available any User Content on or through the Platform, you hereby grant to BeeFreedom a worldwide, irrevocable, perpetual, non-exclusive, transferable, assignable, royalty-free license, with the right to sublicense, to use, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise utilize such User Content on, through, by means of or to promote, market or advertise the Platform or Professional Services, or for any other purpose in our sole discretion and in accordance with applicable law.
Prohibited Conduct
As a User of the Platform, you may not: use another person’s account or misrepresent yourself; take any action that may unreasonably encumber the Platform’s infrastructure; interfere with the proper working of the Platform; bypass security measures; distribute viruses or malware; violate any third-party rights; circumvent the Fee structure; misuse Platform information; recruit or solicit users for unauthorized purposes; undermine reviews or ratings; send spam; submit inappropriate or unlawful Content; create multiple accounts without permission; or fail to comply with these Terms or applicable laws.
8. Non-Circumvention
Users acknowledge that BeeFreedom operates as a marketplace platform that facilitates connections and payments between Customers and Service Providers. Customers and Service Providers agree not to circumvent, bypass, or attempt to bypass the BeeFreedom Platform, including by arranging or completing Professional Services, payments, or transactions outside the Platform that were first initiated or facilitated through BeeFreedom. Any such act constitutes a material breach of these Terms.
9. Payment for Professional Services or Fees
In connection with the use of BeeFreedom’s Platform, BeeFreedom charges Fees, which may change or be updated by BeeFreedom from time to time in BeeFreedom’s sole and absolute discretion.
Customer Payment
Immediately after a Customer schedules and books a service appointment with a Service Provider on the Platform for Professional Services, BeeFreedom reserves the right to, and will charge the Customer’s on-file payment method for the amount of the costs for Professional Services plus any applicable Fees. Such charge will remain in BeeFreedom’s bank account until the Professional Services are complete. All sales on the BeeFreedom Platform and Fees paid by you to BeeFreedom are final and non-refundable except as otherwise expressly described herein.
Service Provider Payment
Upon completion and approval of Service Provider’s Professional Services, Service Provider will receive payment in the amount of the pre-set price listed on the Platform, subject to Fees due to BeeFreedom and any applicable dispute or refund policies. You agree to pay a Fee to BeeFreedom in the amount of 15% of the price of your Professional Services which were booked by the Customer through the Platform. BeeFreedom may change the Fee at any time with thirty (30) days’ notice.
Cancellations
By Service Provider: All cancellations must be made exclusively through the Platform. If cancelled more than 24 hours before the appointment and rescheduled within 48 hours, no refund is issued. Otherwise, Customer receives a 100% refund. Late cancellations (less than 6 hours) or no-shows may result in corrective measures including suspension or deactivation.
By Customer: Cancellations more than 24 hours before: no cancellation fee. Between 6–24 hours: 30% cancellation fee. Less than 6 hours or no-show: 100% cancellation fee.
Taxes
You are responsible for all applicable taxes associated with the purchase of, payment for, access to, or use of Professional Services. BeeFreedom shall not be liable for any claim for excess or inadequate collection of taxes.
10. Third-Party Payment Processor
The BeeFreedom Platform facilitates payments between Customers and Service Providers through our payment processing partner Stripe. By agreeing to these terms, you appoint BeeFreedom to act as your agent for the limited purpose of facilitating and receiving payments on your behalf through Stripe. Service Providers who receive payments must agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement.
11. Payment Disputes
All requests for payment chargebacks, errors, claims, refunds and disputes will be subject to review by BeeFreedom in accordance with the rules applicable to the payment method you used and will be in BeeFreedom’s absolute discretion. A valid written dispute request is normally processed within 30 days after we receive it. You may file a Payment Dispute by emailing support@BeeFreedom.com.
12. Term and Termination
Unless otherwise stated herein, these Terms shall continue in full force and effect until terminated by you or by us. BeeFreedom may, in our absolute and sole discretion, with or without cause, with or without prior notice and at any time, limit, block, suspend, deactivate or terminate your Account and your license to access and use the Platform.
You may terminate these Terms by terminating or deactivating your Account on the Platform. If you attempt to terminate your Account while there are still outstanding scheduled service appointments, these Terms shall not terminate until such services have been performed or otherwise canceled.
13. Consent to be Contacted
By registering for an Account, you expressly consent and agree to being contacted by us via phone, email, mail, text (SMS) messaging, push notifications, or other reasonable means, for transactional communications, account servicing, and marketing communications. You may opt out of promotional messages at any time by clicking unsubscribe or contacting us.
14. Intellectual Property Rights
BeeFreedom Content is protected by copyright, trademark, patent, and/or other laws of the United States. BeeFreedom and our licensors exclusively own all right, title, and interest in and to the Platform and BeeFreedom Content, including all associated intellectual property rights. ALL RIGHTS RESERVED.
15. No Warranties
BeeFreedom does not endorse, warrant or make any representation concerning any User, or any Professional Services, and BeeFreedom is not a party to any agreements between or among Users or third-parties. BeeFreedom does not perform Professional Services and disclaims all liability with respect thereto.
16. Data and Privacy
We are committed to protecting your privacy. By using the Services and Platforms or providing us with your Personal Information, you are accepting and consenting to the practices, terms and conditions described in the Privacy Policy, which is incorporated herein.
17. Indemnification and Release
You agree to release, defend, indemnify, and hold BeeFreedom and its officers, directors, licensors, employees and agents, harmless from and against any claims, fines, penalties, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (a) your violation of these Terms; (b) your User Content or use of the Platform; (c) your interaction with any User; (d) your violation of the rights of any party; and (e) the request, receipt, offer or provision of Professional Services by you.
18. Disclaimer of Warranties; Limitation of Liability
DISCLAIMERS: YOUR USE OF THE PLATFORM, PROFESSIONAL SERVICES, USER CONTENT, OR COLLECTIVE CONTENT IS SOLELY AT YOUR OWN RISK. THE PLATFORM AND COLLECTIVE CONTENT IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. BEEFREEDOM AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT OR NON-INFRINGEMENT.
LIMITATION OF LIABILITY: IN NO EVENT WILL THE TOTAL, AGGREGATE LIABILITY OF BEEFREEDOM ARISING FROM OR RELATING TO THESE TERMS, THE PLATFORM, PROFESSIONAL SERVICES, AND/OR COLLECTIVE CONTENT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID TO BEEFREEDOM BY YOU, OR ONE HUNDRED U.S. DOLLARS ($100.00 USD) IF NO SUCH PAYMENTS HAVE BEEN MADE.
19. Arbitration and Class Action Waiver
Informal Dispute Resolution
The parties shall use their best efforts to negotiate and settle any Dispute directly in good faith. You or BeeFreedom must first send a written notice providing a detailed description of the Dispute. Your notice must be sent via certified mail to BeeFreedom LLC at 2751 North Palm Aire Drive, Apt. 402, Pompano, Florida 33069, ATTN: Legal. For a period of 60 days, the parties agree to attempt to resolve the dispute.
Confidential, Binding Arbitration
If the parties do not reach resolution within sixty (60) days, either party may initiate confidential binding arbitration. Where the relief sought is $10,000.00 or less, arbitration will be conducted online. Where the relief sought is $10,001.00 or more, resolution will be in accordance with JAMS procedures. Arbitration shall take place in Broward County, Florida or virtually unless otherwise agreed.
Class Action Waiver
The parties agree that arbitration will be conducted in their individual capacities only and not as a class action or other representative action. You and BeeFreedom agree that each may bring claims against the other only in your or our individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
30-Day Right to Opt Out
You have the right to opt out by sending written notice to info@BeeFreedom.com with the subject line “ARBITRATION AND CLASS ACTION WAIVER OPT-OUT.” The notice must be sent within thirty (30) days of your first use of the Platform.
20. Governing Law
These Terms shall be governed by the laws of the State of Florida, United States of America, without regard to its choice of law provisions. You agree that any claim or Dispute not subject to the Arbitration Agreement must be resolved by a court located in Broward County, Florida or the U.S. District Court for the Southern District of Florida.
21. Stored Payment Terms and Conditions
By providing Payment Information and selecting, enabling, using, or otherwise accepting any feature that permits a Stored Payment Method, you expressly consent to BeeFreedom and/or its Payment Processor storing your Payment Information for the purposes of facilitating faster checkout, processing authorized transactions and recurring payments, managing refunds and disputes, preventing fraud, and complying with applicable law. BeeFreedom will not sell Payment Information. You may update, replace, or remove a Stored Payment Method through your account settings.
22. General
Force Majeure: BeeFreedom shall have no liability for any delay or failure in performance arising out of causes beyond our control, including fires, floods, earthquakes, strikes, epidemics, pandemics, acts of war, or acts of regulatory agencies.
Severability: If any provision is deemed invalid, the remaining provisions shall remain in full force and effect.
No Third-Party Beneficiaries: Except as otherwise expressly provided, there will be no third-party beneficiaries to these Terms. These Terms are not assignable by you without BeeFreedom’s prior written consent.
Entire Agreement: These Terms (together with the Privacy Policy, End User License Agreement, and any additional terms published by BeeFreedom) constitute the entire agreement between you and us.
Statute of Limitations: Any claim arising out of or related to the Platform must commence within one (1) year after the cause of action accrues.
